Investment and financial adviser in regional projects in the private equity market

ATTRACTING FINANCING FOR DEVELOPMENT PROJECTS

We attract funding for developing the existing business (brownfield). For this, the project is "packaged", i.e. preparation of a package of documents iв done for an appropriate presentation of the project to a potential investor (creditor). We develop the project documentation in such a way as to present the project to the investor in an understandable and familiar format, while highlighting the main risks and answering the most relevant questions of the investor. The typical sequence of work performed is as follows:

  • expert uation of the current business and development project;

  • selection of the optimal form of financing (debt financing or attracting an investor);

  • structuring the project - preparation of the project concept, feasibility study and the business plan, including financial model;

  • preparation of documents for negotiations with potential investors: a project teaser, an investment memorandum;

  • conducting negotiations with investors during which the presentation of the project is done. If necessary, the project parameters can be adjusted to match the investor"s proposals;

  • preparation and conclusion of the term sheet (main terms of the transaction);

  • preparation and coordination of legal documents for the transaction;

  • financial closing of the transaction.

We also provide assistance in obtaining state support for investment projects in the form of borrowed funds provided through co-financing programs for state funds and state-owned funds (Through annual competition " Regions stable development ", Industrial Development Fund , etc.). To do it, we prepare the documents (application and justification) and provide our support until receiving financing. Our cooperation with the Federal Center for Project Finance (FCPF) allows our clients to receive financing for the projects preparation and gives good chances for borrowing from Vnesheconombank which runs the FCPF.

While attracting financing to a particular project, we often act as financial advisors, helping to structure and calculate the conditions and parameters of an investment project. When it comes to large projects implemented on the terms of public-private partnership (PPP), we use our experience of preparing and participating in various PPP projects which helps our clients to find the correct position in concessions and other PPP projects. We involve key market experts, in particular, our partner is Pavel Brusser (Gazprombank) who has vast practical experience in building PPP structures in major Russian projects. As our clients, both state bodies can be (we provide assistance in the development of tender documentation) and potential concessionaires as well (we help prepare for the concession tender).
